Dear Mr. Secretary General:
We are delighted that the Republic of The Gambia has agreed to retain BGR Government Affairs,
LLC (“BGR”). Please accept this letter of agreement (“Agreement”) to work on your behalf.
Scope of Work: BGR will advocate and help build support for increased political and economic
assistance from government and non-governrnehtal organizations for The Gambia’s adolescent
and adult female education programs. BGR may provide guidance and counsel on other issues
from time to time as required. * ( O A I O .
Fees & Term: In consideration for the services provided by BGR, th^llepublfc of The Gambia ^ ^ O w 3^,^Disagrees
to pay BGR a monthly professional fee of US $45,000.00, wjbrfch will be paid in advance In – ^ ^ ‘

The first quarterly installment is due and payable in full upon the execution of the Agreement.
Additionally, the Republic of The Gambia agrees to reimburse BGR for ordinary and out-of-pocket
expenses, including items such as telecommunications services, printing, photocopying, local
transportation and other incidental expenses. BGR will also be reimbursed for the cost of nonlocal
transportation and meals; however, these activities would he authorized in writing by the
Republic of The Gambia in advance.
Invoicing: Professional fees and expenses are Invoiced separately:
1. Professional Fees: An invoice for services provided from April 1, 2013 through June 30,2013 is
attached and due upon execution. Thereafter, BGR will invoice the Republic of The Gambia on the
first day of the quarter starting July 1, 2013,
2. Expenses: BGR will invoice the Republic of The Gambia on the last day of each month for
expenses incurred during the month prior, starting April 30,2013.
Regardless of the ultimate duration of the Agreement, al) invoices generated from the terms and
between the two parties to this Agreement are payable in-full and promptly upon receipt and shall
be paid directly to BGR within thirty [30] days of receipt of all documents.
Termination & Cancellation: Either BGR or the Republic of The Gambia may terminate the
Agreement for any reason upon ninety (90) days written notice, with no further obligation, other
than to pay such fees that have accrued up to and through the 90-day notice period.
